Warranties and Disclaimer
Company provides all dropshipping management, store optimization, advertising, and operational services on an "as is" and "as available" basis. Company makes no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Company does not guarantee specific store traffic, sales volumes, conversion rates, or profit margins. Client acknowledges that e-commerce results depend on external market variables, advertising platform algorithms, and supplier performance.
Limitation of Liability
To the maximum extent permitted by law, Company's total aggregate liability for any and all claims, losses, or damages arising out of or relating to this Agreement shall be strictly limited to the actual amount of monthly fees paid by Client to Company during the one (1) month immediately preceding the event giving rise to the claim.
Term and Termination
This Agreement operates on a month-to-month basis. Either party may terminate this Agreement at any time, for any reason, by providing thirty (30) days' written notice to the other party. Client shall remain responsible for paying all fees incurred up to the effective date of termination.
Company reserves the right to suspend or terminate services immediately if Client fails to pay monthly fees on time, or if Client's store or products violate third-party platform policies.
Client Indemnification
Client agrees to defend, indemnify, and hold harmless Company, its officers, employees, and agents from and against any claims, liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising out of:
- (a) Client's choice of products, inventory selection, or choice of third-party dropshipping suppliers;
- (b) Any product liability, consumer refunds, chargebacks, or defective goods sold through the store;
- (c) Any violation of trademark, copyright, or intellectual property rights resulting from product listings, branding materials, or data provided by Client or selected by Client for use; or
- (d) Client's breach of any provision of this Agreement.
